1 ACCEPTANCE OF ORDERS AND CONDITIONS OF SALE
Any sales order is subject to the approval of the House. By placing and signing the order on behalf of the Customer, these conditions are understood to be fully accepted.
2 YIELD CONDITIONS
The material is intended to be returned to our warehouse in Mantua. If the cost of transport was included in the agreed price, the return is always and exclusively to be considered free on the recipient’s street level (art. 1510 C.C.).
3 DELIVERY TERMS, DELAYS OR SUPPLY HINDRANCES
Industria Colori Freddi S. Giorgio undertakes to respect the delivery terms agreed upon and expressly indicated in the order confirmation. In the event of delays or impediments to supply caused by force majeure, Industria Colori Freddi S. Giorgio shall not be held responsible for the failure to meet the agreed delivery terms; Industria Colori Freddi S. Giorgio is however obliged to promptly inform the customer of such impediments.
4 TRANSPORT AND RISK
The material always travels at the risk and danger of the Customer even when it is delivered free at destination, it being agreed that each shipment is carried out for the precise order and account of the Customer himself (art. 1510 C.C.). It is therefore up to the Customer to complain upon receipt of the goods about delays, mishaps, breakages, thefts, shortages occurring for any reason whatsoever to the Railway Administrations, Shipping Companies or other responsible Carriers, including the vehicles of Industria Colori Freddi S. Giorgio. At the time of delivery, the Customer must therefore take care to check the quantity and condition of the goods by reporting on the
transport documents any complaints that may be found on the goods. Any claims for defects of the goods will be admitted only if made within the terms established by the Civil Code (Articles 1495, 1511, C.C.).
5 PACKAGING
Together with the products, their containers/packages and packaging are also definitively sold, at the price and conditions in force at the time of shipment. The wooden pallets, unless otherwise agreed, are subject to the clause “to return” with immediate charge at cost for failure to return and credit in case of subsequent return. The disposal of empty containers in accordance with current regulations is always the responsibility of the user of the product (DPR 915/1982).
6 PRICES
Prices are net of VAT. This price list cancels and replaces the previous ones.
7 PAYMENTS
Conditions and systems of payment must always be agreed with Industria Colori Freddi S. Giorgio and failure to comply with them may, at its discretion, result in the charging of expenses according to the dictates of the D.lgs. 231/02 implementing EU Directive 2000/35/EC. Payments will be considered final only if they are made directly to our company also through our commercial agents, our drivers and/or authorized transporters who will be able to issue a regular receipt directly on the transport document or on the sale invoice.
8 RESPONSIBILITIES
Industria Colori Freddi S. Giorgio does not guarantee the use of the goods supplied and therefore no responsibility may be attributed to it for any reason whatsoever and no compensation may be requested of it. In no event shall the liability of Industria Colori Freddi S. Giorgio extend to direct or indirect damages of any kind whatsoever.
9 COMPLAINTS AND RETURNS
No claims of any kind will be accepted after eight days from receipt of goods (art. 1495, 1511 C.C.). Any complaints, to be taken into consideration, must be made by registered letter within that period. We do not accept return goods without prior agreement with the House.
10 FORM OF SALE
All material is sold by net weight (p.n.) or by volume.
11 PLACE OF JURISDICTION
The Court of Mantua is competent for any controversy.
